POSISI PELAKU USAHA BATUBARA

perjanjian jual beli pada umumnya. Konsep tersebut adalah:

1. Adanya harga, yaitu harga penjualan atas batu bara dimaksud

2. Adanya barang. yaitu batu bara yang diperjual belikan.

Yang membedakan antara lain adalah subjek atau pelaku perjanjian tersebut. Dalam perjanjian jual beli batu bara, para pihaknya harus di identifikasi terlebih dahulu. Bertindak/berperan sebagai apa dia sebenarnya.

Dalam perjanjian jual beli batu bara, pelaku perjanjiannya terbagi atas 4 kategori, yaitu:

1. Produsen

yang disebut sebagai produsen adalah orang atau badan usaha yang memiliki batu bara yang dijadikan sebagai objek jual beli. Dalam hal ini produsen tidak selamanya pemilik Kuasa Pertambangan. Bisa saja yang bertindak selaku produsen di sini adalah pihak yang diberikan surat dukungan dari pemegang Kuasa Pertambangan (KP)

2. Konsumen

yang disebut sebagai konsumen adalah orang atau badan usaha yang menggunakan batu bara tersebut untuk kepentingan proses produksinya.
Contohnya adalah: industry pembangkit, industry kertas dan pulp, industry semen, dll Industri inilah yang akan bertindak selaku pembeli (yang biasanya di istilahkan sebagai End User)

3. Funder (Pemilik modal/pendana)

adalah orang yang memiliki sejumlah dana yang di investasikan untuk membeli batu bara dan menjualnya kembali melalui Pedagang Perantara (Trader). Biasanya Funder yang murni hanya melepas uang tidak pernah tampil dalam perjanjian, dia biasanya bekerja sama dengan Produsen, atau Trader (Pedagang Perantara). Untuk setiap transaksinya, di hanya diwakili oleh Produsen tersebut atau Tradernya. Tapi ada juga Funder yang bertindak selaku Trader sebagaimana akan diuraikan dalam klasifikasi selanjutnya.

3. Trader/Pedagang Perantara

(orang awam memahaminya sebagai “calo”).Trader itu sendiri dapat
diklasifikasikan menjadi 2 macam, yaitu:

a. Trader yang bertindak selaku pembeli batu bara, tapi dia bukan
konsumen.

Jadi, trader jenis ini adalah pedagang perantara, yang membeli batu bara tersebut langsung dari Produsen, tapi dia tidak menggunakannya sendiri, melainkan ditujukan untuk dijual kembali kepada Konsumen. Dalam melaksanakan pekerjaannya, dia membeli batubara dimaksud dengan menggunakan dananya sendiri dan/atau bekerja sama dengan funder (pemilik dana).

b. Trader yang bertindak selaku penghubung murni antara:

-Konsumen dengan produsen,

-Konsumen dengan trader lainnya

-Produsen dengan funder

-Produsen dengan pemegang kontrak pembelian/pemesanan barang
(Purchase Order – PO).

- dan lain sebagainya.

Dalam tugasnya, orang tersebut bergantung pada pembayaran atas penjualan yang akan dilakukan dari batu bara yang sama (tidak punya dana sendiri). Dari sekian banyak pihak yang berhubungan dengan jual beli batu bara, orang-orang yang bertindak selaku trader inilah yang terdiri dari kumpulan orang yang paling banyak.

Inilah yang sesungguhnya dianggap benar2 calo karena sesungguhnya dia tidak memiliki kemampuan financial untuk melakukan transaksi jual beli.

Dari klasifikasi subjek atau pelaku perjanjian dalam jual beli batu bara tersebut, maka bentuk perjanjian bisa dikembangkan menjadi berbagai macam variasi perjanjian, yaitu perjanjian yang dibuat antara:
